Zoofs Wholesale Terms and Conditions of Trade

Thank you for your interest in becoming a Zoofs wholesale partner. By placing a wholesale order or registering as a wholesale customer, you agree to the following Terms and Conditions. These terms apply to all offers, quotations, and agreements between Zoofs FZCO ("we", "us", or "our") and any business customer ("you", "your", or "Wholesale Partner").

These Terms apply to all offers, quotations, and agreements entered into between Zoofs and the Wholesale Partner for the supply of goods. By submitting a wholesale application or placing an order, you are deemed to have accepted these Terms in full.

Goods are subject to availability, and Zoofs is not obligated to supply any product that is out of stock. Nothing in these Terms limits your rights under the New Zealand Consumer Guarantees Act 1993, except where it is fair and reasonable to do so under the circumstances.

Any reference to legislation includes its subsequent amendments or replacements. The singular includes the plural and vice versa.

Shipping and Refund Policy

  • For international orders, we will quote shipping based on your location. Shipments are sent from our fulfilment centres in New Zealand or Australia.

  • Currently, we are not servicing direct retailers outside of New Zealand and Australia, but this may change in the future. We are currently only working with international distributors.

  • Our wholesale refund policy differs from our retail policy. Please review this refund policy carefully.

  • We have a 30-day return policy on products which arrive defective or damaged from us. Other returns will be accepted at our sole discretion.

  • If your return is accepted, we’ll send you instructions on how and where to send your package. Items sent back to us without first requesting a return will not be accepted.

  • You will be responsible for the return postage fees. All refunds for orders that have already shipped are subject to a $10 restocking fee.

Payment and Price

When placing an order on our online wholesale store, the Wholesale Partner must:

  • Pay at the time of placing the order via credit card, debit card, or PayPal.

  • Any grant of credit by us is at our sole discretion and can be cancelled at any time without notice.

  • Zoofs reserves the right to refuse wholesale account applications or limit sales to any Wholesale Partner at our sole discretion. We may limit product quantities, restrict delivery regions, or discontinue accounts where we see fit — including in cases of pricing violations, brand misuse, or changes in business alignment.

Delivery and Risk

  • We will use all reasonable endeavours to deliver the goods within the time requested, but the time of delivery is not a condition of sale.

  • We are not liable for loss resulting from delivery delays.

  • We may deliver the goods in instalments, with each instalment deemed a separate contract.

  • Risk passes to you upon handover to the courier.

  • You are deemed to have accepted the goods unless you notify us of damage within 5 working days of delivery, with photographic evidence of packaging damage.

Representations and Warranties

You represent and warrant that:

  • All information provided in your Wholesale Account Application is true and complete.

  • You are acquiring the goods for business purposes, and the Consumer Guarantees Act 1993 does not apply, to the fullest extent permitted by law.

  • You will notify us of any change in ownership, control, status, or management.

Our only warranty is the express warranty supplied with the goods by us or the manufacturer. All other terms, conditions, warranties, and representations are excluded to the fullest extent permitted by law.

Intellectual Property Rights

  • Zoofs retains all intellectual property rights relating to products, branding, and marketing materials.

  • Wholesale Partners may not use the Zoofs brand name or trademarks in paid search ads or misleading advertising campaigns.

  • Misuse of our brand may result in account termination.

  • You may not use Zoofs imagery, copy, or website content without written permission.

Minimum Advertised Price (MAP)

  • All Wholesale Partners must adhere to our MAP Policy, provided as a separate document.

  • This policy maintains brand integrity and consistent market pricing.

  • By placing your order, you acknowledge and agree to comply with MAP.

Limitation of Liability

Our liability is strictly limited to the value of the goods purchased.
We are not liable for indirect, incidental, or consequential damages.

Indemnification

You agree to indemnify and hold Zoofs, its directors, employees, and affiliates harmless from any claims, losses, liabilities, damages, or expenses (including legal fees) arising from:

  • Your breach of these terms;

  • Any illegal or unauthorised use of our products;

  • Any claim related to resale, marketing, or representation of our products by you.

Force Majeure

We are not liable for failure or delay caused by events outside our control, including natural disasters, pandemics, courier delays, supplier shortages, war, or regulatory actions.

User Feedback and Content

By submitting feedback, testimonials, or content (including product photos or customer stories), you grant Zoofs a royalty-free, worldwide licence to use, reproduce, and publish that content across our marketing channels.

Reselling Restrictions

Wholesale Partners must not sell or distribute Zoofs products:

  • To other wholesalers, distributors, or other resellers;

  • Through third-party marketplaces (e.g. Amazon, eBay, Walmart);

  • By drop-shipping or similar selling practices;

  • Through auction services, multi-level marketing, pyramid selling, network marketing, referral marketing, or similar schemes.

Breaching these terms will result in immediate removal from the wholesale program.

Miscellaneous

  • You may not assign your rights under these Terms without our written consent.

  • We may assign or transfer our rights without your consent.

  • If any provision is deemed illegal, invalid, or unenforceable, the remaining provisions remain unaffected.

  • These Terms are governed by and construed in accordance with the laws of New Zealand, and both parties submit to the non-exclusive jurisdiction of New Zealand courts.
